Please read the Terms of Service ("Terms") carefully before accessing or using the DocDecipher website or Services ("DocDecipher," "We," or "Us" or “Service Provider”). These Terms as well as our Privacy Policy is binding on anyone accessing or using DocDecipher. If you disagree with these Terms, please do not access or use DocDecipher. An additional agreement between you and us also applies when you use our Services. We may amend these Terms and Privacy Policy any time and without prior notice. The revision will be notified on the “Last Updated” date of these Terms. We strongly recommend that you review these Terms often. If you continue to use our website or Services it means you agree to and accept the revisions.
Please refer to this section for the definitions and interpretations of Termsinologies used in this document.
“Account” refers to the Client's account that is created after signing an Agreement, giving them access to the Service.
“Agreement” refers to the contract established by the Terms of Service, Subscription Plan, Privacy Policy, and modifications made to them, as well as any separate contract signed by the Client and the Service Provider for carrying out the Service.
“API” refers to the company's access-granting External APIs.
“Client” refers to the person or business with whom the Service Provider entered into an Agreement and whose name and address are on the Account and is referred to as the "Client" in the Agreement. “Party” refers to the Client or the Service Provider. Collectively, they are referred to as “Parties”.
“Cloud-Based Technology” collectively refers to DocDecipher’s cloud-based technology for data extraction, the cloud-based user interface for verification and correction of the extracted data, the extension environment, and the reporting database.
“Company Content” refers to all information and material owned by or licensed to DocDecipher and comprised within the Cloud-Based Technology and/or the Subscription. It includes the information (personal or otherwise) in the processed document that the Client has supplied to the document parser(s) for processing.
“Client” and “Customer” refers to the end-user who is obtaining Access directly from DocDecipher under a Subscription plan or any Certified Partner or Affiliate.
“Client Data” refers to all the data entered into cloud-based technology by customers or others acting on their behalf, including information automatically retrieved from customers' documents and information manually corrected on cloud-based technology.
“Documentation” refers to documents that are available for free viewing, printing, and/or terms downloading from the website docdecipher.com.
“Document Parser” refers to the algorithm used to parse the Imported Documents supplied by the Client.
“DocDecipher Solution” refers to the DocDecipher software and related applications developed by the Service Provider.
“Parsed Content” refers to any information, personal or otherwise, that is derived from DocDecipher using the Parsing Rule(s).
“Personal Data” refers to all information that falls under the definition of "personal data" as set forth in Data Protection Laws, supplied to the Company by the Customer (directly or indirectly), accessed, stored, or otherwise processed by the Company in its capacity as a data processor in connection with the provision of Access to Customer, and to which the Data Protection Laws are currently applicable.
“Parsing Rule(s)” refers to a group of standard or customized instructions that specify to the DocDecipher solution the type of data the Client wants to extract from the Processed Documents.
“Processed Documents” refers to documents sent by the Client to the Document Parser to be processed by the Service.
“Service” refers to the Service Provider granting access to DocDecipher and the use of the DocDecipher website or application as per the Terms and conditions in the Agreement.
“Subscription Fees” refers to the fees for accessing our Services as specified in the Subscription Order and are paid by the customer directly to the company or a certified partner.
“Subscribed Plan” and “Subscription Plan” refer to the fee-based plan that the Client has subscribed to for a predetermined monthly or annual period and is reflected on the Account (and then possibly modified by the Client).
DocDecipher is a cloud-based document processing solution that allows Clients to define the parsing rules and extract content from documents. This parsed content can be downloaded in certain formats and pushed to other applications using APIs. Doc Decipher does not provide storage for the parsed content. It is the Client’s responsibility to ensure that the documents and the parsed content are saved and stored safely. DocDecipher shall not be held liable in the event of any loss of the documents or the parsed content.
The Client has to set up an account to access DocDecipher Services. During registration, the Client is required to provide us with information that is accurate, complete, and current. The Client is considered to be the only owner of the account after they create it. The same account cannot be used by multiple people. The Client is in charge of keeping the details of their account and any account activity secure. They must not divulge their account information to anybody else. You acknowledge that by failing to protect the confidentiality of your account, you release us from responsibility for any resulting loss or damage.
During the period that an agreement with the Client is active, the Service will be available to them round the clock throughout the week under the terms and conditions set forth in the agreement.
A free trial of DocDecipher is available for the first 100 documents, which must be used within 30 days of signing up. This free trial is provided to as to get a hands-on experience of the Service. It shall not be used for business or commercial purposes. If any Client is found to use the Service contrary to these terms of the free trial, we reserve the right to suspend or limit their use at any time. Only one free trial is allowed per Client. Once the free trial period has elapsed, the Client can avail of the Service only through a paid subscription.
Different pricing plans are available for DocDecipher. Clients can subscribe to one of these plans at any time—during the free trial period or afterward. They will be automatically charged as per the plan they have subscribed to. The pricings are in U.S. dollars and are non-inclusive of taxes, levies, or duties applicable in the particular jurisdiction. Clients are responsible for the payment of these charges.
A monthly or annual fee will be charged for the Service, regardless of how much the Client uses the Service. Payment is to be made in full through the Service Provider’s authorized payment Service Provider with Visa, Mastercard, or Amex credit cards. The receipt for each payment will be sent as an email to the Client. A PDF of the receipt can also be downloaded from the Client’s account.
If payment is not made on the due date, the Service Provider can request payment of the entire amount, a late fee that is three times the legal interest rate, and the fee for fee recovery.
Lack of or partial use of the Service, while subscribed to a paid plan, does not imply that the lifespan of the plan can be prolonged or that a full or partial refund or compensation will be made to the Client. No compensation will be made by the Service Provider for partial use or underutilization of Services or any upgrade/downgrade.
If any subscription is upgraded or downgraded, the new price will be effective from the following day. The billing cycle will remain unaffected and the pro rata information will be included in the invoice. The Client is not entitled to a reimbursement in the event a Subscribed Plan is modified or the Client switches from a Subscribed Plan to a free account.
The Service Provider has the right to modify or discontinue the Service at any time without prior notice. The Service Provider also reserves the right to change the subscription fee for each plan. Such changes will be published on docdecipher.com, the application, or the Service. The revised price will be applicable only for subscriptions taken after the modification comes into effect and not for those that were active before.
The Agreement between DocDecipher and the Client will come into effect once the Client creates an Account (including the free Account), and it will last until either Party terminates it. The Agreement will be effective for a minimum of one month from the date of a monthly subscription plan and one year from the date of an annual subscription.
Unless either Party explicitly terminates the agreement via email seven working days before the subscription plan expires, all subscribed plans will be automatically renewed for the same duration. The Client is responsible for keeping track of the expiry of a subscribed plan and will bear the consequences of a lapsed account. The Service Provider shall not refund any amount paid in advance for the plan by the Client. Once an agreement is terminated, all content and parsed content will be automatically deleted from the Service. The deleted content cannot be recovered after the termination of the agreement.
The Service Provider shall make use of all appropriate resources to provide the Service to the Client on the condition that (1) the Client has paid the entire contractual fees (2) there is no interruption, suspension, or discontinuation of all or any part of the Service due to maintenance or failure of external systems.
In case of scheduled maintenance, the Service Provider will make the effort to notify the Client in advance through email or the website or the application itself. No temporary Service interruptions warrant any compensation of any sort from the Service Provider.
Any Service (for example, training, Service, etc) that is not specifically included in the Agreement will be governed by a separate agreement.
The Client represents that they have the authority to bind any person or company or legal entity on whose behalf they are entering into the Agreement. The Client certifies that they are not a robot and they are a human or legal entity executing a professional role.
The terms “controller”, “processor”, “personal data”, “process/processing”, “organizational measures”, and “authority/supervisory authority” will mean what is described in the applicable Data Protection Laws.
Both parties to the Agreement shall be in compliance with the relevant Data Protection Laws and obtain and maintain necessary registrations to allow both parties to fulfill their obligations as set out in these Terms.
The Data Processing Schedule shall apply to the processing where the Service is acting as the data processor for the Client with regard to Personal Data shared under these Terms and that fall under the purview of relevant Data Protection Laws.
The party which is acting as a controller with regard to Personal Data processed under these Terms and that fall under the purview of relevant Data Protection Laws shall assist the other party to the maximum extent possible to comply with any data subject requests (related to access to Personal Data, the rectification of errors, processing restrictions, portability, erasure); assist the other party to the maximum extent possible comply with queries/complaints from a supervisory authority; notify the other party at once of any unlawful or accidental destruction, loss, alteration, unauthorized disclosure or access to personal data that is transmitted, stored, or processed according to these Terms of Service; assist the other party to the extent possible to notify (a) the relevant supervisory authority within 72 hours of any security incidents mentioned herein (b) the relevant data subjects without undue delay of the security incidents.
If the Service finds it is necessary to amend the data protection provisions of these Terms of Service to comply with its obligation or in accordance with the opinion of any supervisory authority, the Service shall amend its data processing clause and Data Processing schedule unilaterally after giving a 30-day notice to the Client.
The Service is provided “as is” on an “as available” basis except otherwise expressly stated in any separately signed document between the Client and Service. It is not a substitute for any function in the Client’s organization. The information provided by the Service Provider is for the Service and does not apply to the Client’s organization.
The Service is provided at the sole risk of the Client. The Client agrees and understands that the Processed Documents, Content, and Parsed Content may be transferred unencrypted across various networks and the processing and transmission Service may change to adapt to the technical requirements of connecting networks and devices.
The Service Provider shall keep the Content and Parsed Content for a maximum period of 30 days for the functioning of the Service. The Client is solely responsible for storing and registering the Client Data including the Processed Documents, Content, and Parsed Content.
The Client acknowledges that DocDecipher relies on third-party vendors, hosting Services, and External APIs to operate the Service. The Client is responsible for the transfer, download, or use of the Processed Documents, Content, and Parsed Content by means of External APIs, excluding the Service Provider’s liability. The Client acknowledges that they have to have a separate agreement regarding the use of the External APIs.
The Client acknowledges that the Service Provider is not liable for (1) the loss of the Client’s Processed Document, Content, Parsed Content, features, or capacity of the Client’s Account. (2) the Client’s Parsed Rules (3) the use of the Parsed Content (4) modification, discontinuation, or suspension of the Service (4) Price changes to the Service (5) any loss or damage suffered by the Client due to the Client’s non-compliance with the Client’s obligations and undertakings (6) any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, loss of profits, goodwill, use, data or other intangible losses (even if the Service Provider has been advised of the possibility of such damages), as a consequence of (i) the use/inability to use the Service; (ii) cost of procurement of substitute Services resulting from any Services purchased through or from the Service; (iii) unauthorized access to or changes made to the Processed Documents, Content or Parsed Content; (iv) statements or conduct of any third party; (v) or any other matter concerning the Service.
The Service Provider’s liability is strictly limited to the fee paid by the Client for their active Subscription Plan.
The Client understands and agrees that the Service Provider may terminate or suspend access to and use of DocDecipher through written notice to the Client without liability if the terms and conditions of the Service are not complied with, including non-payment of the invoiced amount beyond the due date, breach of Client’s obligations, Intellectual Property Rights, or repetitive breach of any of the Client’s obligations per these Terms of Service. If the breach is not remedied within seven days of the notice, the Service Provider retains the right to suspend access to the Service and terminate the Account immediately and without prior notice. After the suspension or termination, the Client will not be able to access the Service and the content related to the Client’s Account will be deleted without any compensation. The responsibility for the suspension or termination and its consequences rests solely with the Client. Any advance paid will not be refunded in such a case, nor will any compensation be made by the Service Provider.
The Service Provider has the right to present claims regardless of the suspension or termination of the Agreement
The Service Provider disclaims any and all representations or warranties, express or implied, regarding the operation of the Service, any content or products therein, the merchantability, availability, or fitness for a specific purpose, non-infringement, and title. In no event shall the Service Provider, their officers, directors, employees, licensees, affiliates, or any third parties, if any, be liable for any direct, indirect, incidental, special, or consequential damages, including but not limited to data loss, Service interruption, system failure or financial loss) due to the use or the inability to use the Service. The Service Provider not warrant the accuracy or completeness of the Content, graphics, links, or any other information offered on the Service.
Some jurisdictions do not allow limitations on express or implied warranties, in which case the above limitations may not apply to you. In that event, warranties shall only be imposed to the extent determined by a court of competent jurisdiction as required by applicable law.
Except as may be set forth in the agreement signed between the Client and the Service, the Service Provider does not warrant that the Service will be available at all times or from any specific location, operate without interruption, or will be secure or free of errors, viruses, or other harmful code. No advice or information obtained, whether oral or written, obtained from us or any of our affiliates shall be deemed to alter the warranty expressly stated in this Terms of Service.
Some jurisdictions do not allow the limitation of incidental or consequential damages, so the above limitation may not apply to you. You acknowledge and agree that these limitations are reasonable given the benefits of the Services and you will accept such risk and/or insure accordingly.
The Service Provider and the Client shall maintain complete confidentiality of information and documents of any kind that either party may have provided or referred to for the fulfillment of the Agreement.
DocDecipher’s Privacy Policy sets forth in detail what data is collected by the Service Provider and how it is used and protected in compliance with data privacy laws and regulations.
